Why exemption certificates are riskier than they look

An exemption certificate is a small piece of paper doing an enormous amount of work. It's the only thing standing between "we didn't charge tax on that sale" and "you now owe the tax on that sale."

The state doesn't chase your customer for the tax you didn't collect. It comes to you — plus penalties and interest.

If a certificate is expired, unsigned, filled out incorrectly, issued for the wrong state, or simply missing when the auditor asks for it, the exemption doesn't count.

The exemption is generally disallowed, and the tax you didn't collect becomes tax you owe — typically with penalties and interest. Auditors sample exempt transactions and ask for the supporting certificate; missing or defective certificates are one of the most common assessment drivers.

It depends on the state. Some have firm expiration periods, some require periodic renewal, and some treat certificates as valid indefinitely if the relationship continues. Tracking that state by state is exactly the part that breaks down at volume.

Sometimes. Multi-state and uniform certificates exist and are accepted in many states — but not all, and not always for every exemption type. Relying on one without checking is a common and expensive mistake.
