Complex sourcing, aggressive enforcement
If you're selling into California, you're not just dealing with one tax rate. You are facing local district taxes that can push combined rates above 10.75% in some LA-area cities, and the rules for where those taxes apply depend on what type of tax it is.
California sales tax rate table
| Field | Value |
|---|---|
| State base rate | 7.25% |
| Average combined rate | 8.68% |
| Local add-on range | 0.10% to 3.50% |
| Maximum combined rate | 10.75% |
| Rates vary by county/city | Yes |
| Sourcing | Hybrid — state/county/city origin; district destination |
Local district taxes are voter-approved and change multiple times per year — over 400 district rates updated quarterly.
$500,000 — for tangible goods only, no transaction count
California's economic nexus kicks in at $500,000 in sales during the preceding or current calendar year — applying specifically to tangible personal property, not total revenue. Service income doesn't count toward the threshold.
- Marketplace sales count toward the $500,000, even though platforms remit the tax.
- Registering also automatically opens a Franchise Tax account.
Exempt today — but a 2027 tax change is coming
California draws a bright line: if it's prewritten software on tangible media, it's taxable. If it's delivered electronically, it's not. At least not yet.
| Product / service | Tax treatment (as of mid-2026) |
|---|---|
| SaaS (B2B and B2C) | Exempt |
| Downloaded software (permanent license) | Exempt if electronic; taxable if on physical media |
| Streaming / subscription software | Exempt |
| Digital goods (e-books, music, video) | Exempt |
| Cloud storage / hosting | Exempt |
Watch January 1, 2027: a budget proposal to tax SaaS has passed the legislature and awaits the governor's signature. Also, bundling any physical component (USB drive, printed manual) with software makes the entire transaction taxable.
Product taxability in California
| Product category | Tax treatment |
|---|---|
| Groceries & unprepared food | Exempt |
| Prepared food & restaurant meals | Taxable |
| Candy & soft drinks | Exempt (treated as groceries) |
| Clothing & apparel | Taxable |
| Prescription & OTC drugs | Exempt |
| Manufacturing machinery & equipment | Partially exempt — 3.9375% rate for qualifying equipment |
Manufacturing partial exemption significantly reduces costs, but requires proper documentation and qualifying use certification.
California does not offer any sales tax holidays
The complex local tax structure makes implementing statewide holidays administratively challenging.
Filing and registration
Register through the CDTFA online portal or Form CDTFA-401-A. Free, 2 to 4 weeks. Registering automatically opens a Franchise Tax account.
| Frequency | Assigned when… |
|---|---|
| Monthly | Liability exceeds $1,200/quarter |
| Quarterly | $100–$1,200/quarter |
| Annual | Under $100/quarter |
Returns due the last day of the month following the reporting period.
Monthly filers over $17,000/month must make mid-period prepayments — missing these triggers penalties even if the final return is on time. No vendor discount.

Not home-rule for filing — but hundreds of district taxes
California is not a home-rule state — the CDTFA collects everything and distributes local portions; one return covers all jurisdictions. California is not an SST member and shows no interest in joining, maintaining its own complex sourcing rules.
Voluntary Disclosure Agreement (VDA)
California offers a formal VDA program directly or through the MTC. Lookback typically 3 years (vs. 4-year standard, 8 for substantial understatement). Penalties waived; interest owed. Process takes 60-90 days.
Among the most aggressive audit programs in the country
The CDTFA is well-resourced, data-driven, and takes a hard line on exemption certificate documentation. Common triggers: high exempt/resale sales without documentation, nexus red flags, missed mid-period prepayments. Statute of limitations: 4 years standard, 8 for substantial understatement, unlimited for fraud.
Recent changes & quirky rules
State, county, and city taxes use seller's location; district taxes use buyer's address.
Registering for sales tax automatically opens a Franchise Tax account, even if you owe nothing.
Exemptions & resale certificates
California issues Form CDTFA-230, also accepts the SST Uniform Exemption Certificate. Blanket, don't expire unless permit revoked. CDTFA conducts aggressive audits of resale certificate validity — maintain organized documentation. Common exemptions: resale, manufacturing (3.9375% partial), agriculture, government.
